1.2. All scores, bands, verdicts, risk tiers, reports, roadmaps and recommendations are indicative only. They are generated from the information you provide together with general heuristics, and are not a guarantee, certification, or assurance of any outcome, compliance status, or fitness for any purpose.

2.1. You are solely responsible for how you use the VALUE-AI Tools and for any decision, action, investment or omission you make based on them.

4.1. The AI Advisor and related features rely on automated and third-party AI systems. AI-generated responses may be inaccurate, incomplete or outdated, and may not reflect your specific situation.

4.2. You must independently verify any AI-generated content before relying on it. We are not responsible for any reliance you place on AI-generated output.

5.1. To the maximum extent permitted by law, LyboAI (Lybotech Group Pty Ltd), together with its directors, employees, contractors and partners, shall not be liable for any loss, damage, cost or expense of any kind — whether direct, indirect, incidental, special, consequential or exemplary — arising out of or in connection with your use of, or inability to use, the VALUE-AI Tools or any reliance on their output.

5.2. Without limitation, we are not responsible for any outcome that is unfavourable, unexpected, unanticipated, or that does not meet your expectations, including any business, financial, operational, reputational or regulatory outcome.

5.3. Where liability cannot lawfully be excluded, our total aggregate liability is limited, at our option, to re-supplying the relevant service or refunding the fees you paid for the relevant VALUE-AI Tool in the three (3) months preceding the event giving rise to the claim.

6.1. Nothing in these terms excludes, restricts or modifies any guarantee, right or remedy you may have under the Australian Consumer Law or any other law that cannot lawfully be excluded. Where such rights apply, our liability is limited to the extent permitted by that law.

7.1. You agree to indemnify and hold harmless LyboAI from and against any claims, liabilities, damages, losses and expenses arising from your use of the VALUE-AI Tools, the inputs you provide, or any decision or action taken in reliance on any output.

8.1. You confirm that you have the authority and the competence to use the VALUE-AI Tools for your intended purpose.

8.2. You must not misuse the Tools, attempt to reverse-engineer the scoring logic for resale, or present any output as independent certification, audit or accreditation.

9.1. The VALUE-AI Framework — including its pillars, dimensions, scoring methodology, question set, maturity model and related materials — is the intellectual property of Lybotech Group Pty Ltd. You are granted a limited, non-exclusive, non-transferable licence to use it for your own internal assessment purposes in line with your plan. Reselling, sub-licensing or redistribution is prohibited without our written consent.

10.1. When you use the VALUE-AI Tools we collect and store the information you enter — including use-case details, organisation context, assessment answers, risk inputs, and the scores and reports generated — against your account, so we can provide the service, generate outputs and let you return to saved work.

10.2. AI Advisor interactions may be processed by third-party AI providers to generate responses. Please do not enter confidential, personal or sensitive information that you are not authorised to share.

10.3. Our handling of this data is governed by the Privacy Policy below.

11.1. Any paid professional services, workshops, or Claude enablement engagements are provided under separate agreement. These VALUE-AI Tool terms do not, by themselves, create any advisory, consulting or fiduciary relationship.

5.1. We retain information for active LyboAI Accounts as long as it is necessary and relevant for our operations.

5.2. We may retain information from closed accounts to comply with the law, prevent fraud, resolve disputes, or enforce the LyboAI Terms of Service.

2.1. Non-Refundable Items: Once you subscribe:

• Monthly and annual plans are non-refundable.
• Add-ons, integrations, and custom builds are also non-refundable, as they're crafted just for you.

2.2. Exceptions (When Refunds Do Happen): We'll make things right if:

• You were billed twice.
• A payment wasn't authorized.

2.3. Write to us at contact@lybo-ai.com and if approved, the refund will return to your payment method.

3.1. You can cancel anytime from your dashboard or by contacting our support team.

3.2. Cancellation takes effect at the end of your current billing cycle. You won't be billed again, and you'll keep access until the cycle ends.

3.3. Payments already made remain final, except in the refund cases listed above.

1.1. Terms not otherwise defined herein shall have the meaning given to them in the EU GDPR or the Agreement.

• "EU GDPR" means the Regulation (EU) 2016/679 of the European Parliament.
• "Data Subject" means an identified or identifiable natural person to whom Personal Data relates.
• "Controller" means the entity which determines the purposes and means of the processing of personal data.
• "Processor" means the entity which processes personal data on behalf of the controller.

2.1. This DPA sets out various obligations of the Processor in relation to the Processing of Personal Data and shall be limited to the Processor's obligations under the Agreement.

2.2. If there is a conflict between the provisions of the Agreement and this DPA, the provisions of this DPA shall prevail.

3.1. The Data Controller shall warrant that it has all necessary rights to provide the Personal Data to the Data Processor.

3.2. To the extent required by Data Privacy Laws, Data Controller is responsible for ensuring that it provides such Personal Data based on an appropriate legal basis.

4.1. The Processor will follow written and documented instructions received from the Controller.

4.2. The Processor will use personnel who are informed of the confidential nature of the Personal Data.

4.3. The Processor will maintain appropriate technical and organizational measures for protection of the security, confidentiality, and integrity of the Personal Data.

5.1. The Processor shall maintain defined procedures in case of a Personal Data Breach and shall without undue delay notify Controller if it becomes aware of any Personal Data Breach.

6.1. At least thirty (30) days from the end of the Agreement, the Processor shall return to the Controller all the Personal Data, or if the Controller so instructs, the Processor shall have the Personal Data deleted.
